These Terms and Conditions (“Terms”) govern the use of the Early COD (Cash on Delivery) feature (“Early COD Service”) offered by ShipMaxx (“Company”, “we”, “our”, or “us”). By opting for this service, the user (“Merchant”, “you”, or “your”) agrees to comply with and be bound by these Terms.
Eligibility
The Early COD Service is available only to registered ShipMaxx merchants.Eligibility is subject to internal risk assessment, transaction history, and compliance checks conducted by ShipMaxx.ShipMaxx reserves the right to approve, reject, or revoke access to the Early COD Service at its sole discretion.
Service Description
Early COD allows merchants to receive COD remittances before the actual collection from the courier partnersThe settlement timeline, advance percentage, and applicable fees will be communicated separately and may vary based on merchant profile and performance.
Fees and Charges
A processing fee or discounting charge may be applied on Early COD transactions.All applicable charges will be transparently communicated and are subject to change with prior notice.Taxes (if applicable) will be levied as per governing laws.
Settlement and Adjustments
ShipMaxx will disburse the eligible COD amount in advance as per agreed timelines.Any discrepancies, returns, RTO (Return to Origin), cancellations, or failed deliveries will be adjusted against future settlements or may be recovered directly from the merchant.The merchant agrees to maintain sufficient balance with ShipMaxx to cover such adjustments.
Risk and Liability
The merchant assumes full responsibility for order authenticity, product quality, and customer disputes.ShipMaxx shall not be liable for non-payment by customers, fraudulent orders, or delivery failures.In case of high return rates, fraud suspicion, or policy violations, ShipMaxx may suspend the Early COD Service and recover outstanding dues.
Returns, RTO, and Refunds
Orders marked as RTO or returned after Early COD disbursement will be debited from the merchant’s account.Refunds to customers remain the responsibility of the merchant unless otherwise agreed.
Fraud Prevention and Compliance
Merchants must ensure all shipments comply with applicable laws and ShipMaxx policies.Any fraudulent activity, misrepresentation, or misuse of the Early COD Service may result in immediate termination and legal action.
Suspension and Termination
ShipMaxx reserves the right to suspend or terminate the Early COD Service at any time without prior notice in case of breach of these Terms or risk concerns.Upon termination, all outstanding amounts shall become immediately due and payable.
Indemnity
The merchant agrees to indemnify and hold harmless ShipMaxx, its affiliates, and employees against any claims, losses, or damages arising from misuse of the Early COD Service.
Limitation of Liability
ShipMaxx’s liability, if any, shall be limited to the amount of fees charged for the Early COD Service.Under no circumstances shall ShipMaxx be liable for indirect, incidental, or consequential damages.
Amendments
ShipMaxx reserves the right to modify these Terms at any time. Updated Terms will be communicated via the platform or email and will become effective immediately upon posting.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.Any disputes arising shall be subject to the exclusive jurisdiction of courts located in Gurugram, Haryana.
Acceptance
By using the Early COD Service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
